Terms of Service

1. Definitions

"Service" or "Services"
The AI Agent platform, features, Voice/Telephony services, API embedding, and content available at clero.so, provided by Cleverprep, Inc.
"User," "you," "your"
Any individual or entity using the Service.
"Agent"
An AI-powered automation entity configured by a User to perform specific tasks.
"Integration"
A connection between Clero and a third-party service (e.g., Slack, GitHub, Gmail) authorized by the User.
"User-Generated Content" (UGC)
Any content, including agent instructions, prompt templates, scheduled tasks, and AI Prompts, that you create or configure on the Service.
"Automation Run"
A single execution of an Agent's logic, which may consume credits or units as defined in your plan.

2. Acceptance of Terms & Eligibility

By using our Services, you agree to be bound by these Terms and our Privacy Policy. You must be at least 16 years old to use the Services.

3. Accounts, Subscriptions, and Payments

  • Account Security: You are responsible for safeguarding your credentials and for all activities that occur under your account or via your authorized integrations.
  • Billing: Subscription plans are billed on a recurring basis through Stripe. In addition to subscription fees, you agree to pay all usage-based fees associated with third-party AI models and communication services (e.g., Telnyx) incurred by your Agents.
  • AI Model Provider Expenses: When your use of the Services incurs expenses from third-party AI model providers, you agree to pay those provider expenses plus a ten percent (10%) service charge.
  • Fair Use: We reserve the right to limit or suspend automation runs if usage patterns are deemed abusive or exceed plan limits.

4. User-Generated Content & Integrations

  • Ownership: You retain all ownership rights to your UGC and the data processed via your integrations.
  • License to Us: You grant Clero a limited license to access and process your UGC and integration data solely for the purpose of executing your requested automations.
  • Your Responsibility: You must ensure that your use of integrations complies with the terms of those third-party services.

4a. Google Workspace Integrations

When you connect Google services through Clero, the following permissions are requested and used exclusively for automation purposes:

  • Gmail: Your automations may read email content and send emails on your behalf. You are solely responsible for any emails sent by your configured agents.
  • Google Calendar: Your automations may check free/busy availability and manage events only in a dedicated calendar created by Clero. Clero does not read private event details from your other calendars or use Calendar events as triggers.
  • Google Drive, Docs & Sheets: Your automations may access files created by Clero, view file metadata, and create or edit Google Docs and Sheets.

You may revoke any Google integration at any time from the Apps page or from your Google Account permissions. Upon disconnection, all stored OAuth tokens are immediately deleted.

Clero's use of Google API data is subject to the Google API Services User Data Policy, including the Limited Use requirements.

5. Use of AI and Automation Responsibility

  • Agent Actions: You are solely responsible for the actions taken by Agents you configure. This includes any messages sent, files modified, or data deleted across your connected integrations.
  • AI Accuracy: AI-generated outputs may contain errors. You should implement guardrails and review Agent configurations before enabling autonomous actions.
  • No Liability for Third-Party Actions: Clero is not responsible for any impact on third-party services resulting from your automation configurations.

5a. Communication Services

When using Voice or Telephony services through Clero, you agree to comply with all applicable telecommunications laws and regulations, including the Telephone Consumer Protection Act (TCPA). Specifically:

  • No Automated Telemarketing: You are prohibited from using the Service for automated telemarketing without prior express consent.
  • Recording Compliance: You are solely responsible for compliance with all call recording and wiretapping laws in the jurisdictions where you and your callers operate.

5b. Third-Party AI Models

Clero utilizes third-party AI models (e.g., OpenAI, Anthropic, Google, DeepSeek) to provide its Services. Your use of these models is subject to the respective provider's terms and acceptable use policies. You represent that your instructions to Agents comply with these third-party policies.

6. Prohibited Conduct

While using the Service, you agree not to:

  • Use Agents to spam, harass, or perform unauthorized actions on any platform.
  • Bypass security controls or attempt to "jailbreak" AI models.
  • Infringe on the intellectual property or privacy rights of others.
  • Distribute malicious software or use the Service for illegal activities.
  • Reverse engineer the Service or its underlying automation engine.

7. Intellectual Property

All rights to the Clero platform, code, and branding are the exclusive property of Cleverprep, Inc.

8. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate access if you violate these Terms.

9. Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS." Cleverprep, INC. DISCLAIMS ALL WARRANTIES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms shall be governed by the laws of the State of Delaware.

11. Indemnification

You agree to indemnify and hold harmless Cleverprep, Inc. from any claims, damages, or expenses (including legal fees) arising from your violation of these Terms or your use of the Service, including from your UGC.
